    HANDYRIDES FRIENDS & FAMILY TERMS AND CONDITIONS

    This General Services Agreement ("Agreement"), dated as of ____________, is made by and between HandyRides, Inc., a Delaware corporation, located at 42 Cleveland Lane, Princeton, NJ 08540 ("HandyRides"), and ______________________________________ ("Member").

    In consideration of the mutual promises contained herein and the mutual benefits to be derived therefrom, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

    1. Background

    HandyRides operates a closed-loop mobility platform ("HandyRides Platform") and web application ("HandyRides App") that enables eligible individuals to request transportation from one location to another (each, a "Trip"). HandyRides is not a ridesharing service. Unlike open marketplace platforms, HandyRides provides scheduled and on-demand transportation services ("Mobility Services") through a dedicated fleet operated by professionally trained and insured drivers using HandyRides-owned or -managed vehicles ("Drivers").

    HandyRides is expanding its Friends & Family High-quality Affordable Rides Organization, launched on an experimental basis on September 8, 2025, dedicated to providing safe, affordable high-quality rides throughout Mercer County at about "half the cost of Uber." This Friends & Family program gives our earliest members the same access being offered to local nonprofits and community partners in support of HandyRides' mission to help build high-quality, affordable communities.

    2. Definitions

    • "Agreement" means this contract, including all exhibits and attachments.
    • "Eligible Rides" means Trips booked and completed under this Agreement that satisfy the criteria established herein, including but not limited to beginning and ending within the designated Service Area and during the approved Service Hours.
    • "Member Account" means the prepaid account established by the Member with HandyRides to fund Eligible Rides.
    • "Funds" means dollar amounts loaded by the Member into their Member Account. The actual fare for each Trip is deducted from the Member's Funds balance. Trips will not be authorized if the Member's Funds balance is insufficient to cover the fare.
    • "Trip Credits" means spending allocations that a Member may assign to Authorized Users, allowing them to book Trips up to the allocated limit. Trip Credits represent a cap on usage, not a separate currency. Actual trip fares are deducted from the Member's Funds.
    • "Authorized User" means an individual added to a Member's account who may independently book Trips using Trip Credits allocated by the Member. The Member remains responsible for all Trips taken by Authorized Users and all associated fees.
    • "Service Area" means the geographic area within which the Program operates, currently defined as Mercer County, New Jersey, and nearby portions of Somerset and Middlesex Counties. Trips across the Delaware River or into neighboring states are not available.
    • "Service Hours" means the days and hours during which Services are provided, as detailed in Exhibit A.
    • "Trips" means transportation services provided by HandyRides under this Agreement, including rides booked through the HandyRides App, by phone, or through other approved methods.
    • "Member" means an individual who is authorized to use the Services under this Agreement.
    • "Guest" means any individual for whom a Member books a Trip, including minor children, family members, or other authorized riders traveling under the Member's account.

    3. Activities

    HandyRides will provide access to its Mobility Services to Members in accordance with the scope, terms, and Service Area outlined in this Agreement and as further described in Exhibit A. Services may include ride scheduling through the HandyRides App, telephone booking support, management of prepaid Funds and Trip Credits, and ride notifications via SMS.

    The Member will be responsible for maintaining an active prepaid account, ensuring sufficient Funds are available to cover Trip fares, and complying with all applicable HandyRides Rider Policies as set forth in Exhibit B.

    Members may book Trips for themselves and for Guests (including minor children and family members). The Member is fully responsible for the conduct of any Guest traveling under their account, including compliance with this Agreement and the Rider Code of Conduct. All fees, fines, and penalties incurred by a Guest shall be charged to the Member's account. Age restrictions and other eligibility requirements set forth in Exhibit A apply to all riders, regardless of whether the booking is made by the rider or by a Member on their behalf.

    Unless otherwise specified in Exhibit A, all Trips shall begin and end within the designated Service Area. Pickup and drop-off locations may be adjusted slightly from the original request due to real-time operational constraints. Riders are responsible for walking to and from designated pickup and drop-off points and must approach the vehicle directly. Drivers are not required to leave the vehicle except where required by law.

    Due to traffic, weather, and other unforeseen factors, your vehicle may arrive before or after the specified arrival time. Please be patient and flexible as we work to accommodate everyone who books on our service.

    Ride availability is subject to vehicle and driver capacity. HandyRides does not guarantee that a vehicle will be available for every request, particularly during peak hours or inclement weather.

    4. Fees and Payment

    4.1 Prepaid Account

    Member shall establish a prepaid account with HandyRides ("Member Account") by loading Funds through the HandyRides App or other approved payment method. Funds will be deducted from the Member Account to pay for Trips taken by the Member, Guests, or Authorized Users.

    4.2 Authorized Users and Trip Credits

    Members may add Authorized Users to their account and allocate Trip Credits to them. Trip Credits represent a spending limit for the Authorized User—actual trip fares are deducted from the Member's Funds balance. Members may adjust or revoke Trip Credit allocations at any time through the HandyRides App.

    4.3 Maintaining Sufficient Funds

    Members must maintain a sufficient Funds balance to book Trips. No Trips will be authorized if the fare would cause the Member's Funds balance to go negative. Members may add Funds to their account at any time through the HandyRides App.

    4.4 Dynamic Fare Model

    All Trips under this Agreement shall be priced dynamically at approximately fifty percent (50%) of prevailing fares for comparable ridehailing services within the Service Area, based on time and distance at the time of booking. Applicable taxes or fees will be included in the fare unless otherwise stated.

    Affordability is achieved through ride sharing (incurring a slight inconvenience rather than "price gouging") during peak demand.

    4.5 Exclusive Vehicle Use

    Exclusive use of vehicles can be reserved at 2.0 times the cost of a seat.

    4.6 Account Activity

    HandyRides shall provide Members with account information through the HandyRides App, including Trips completed, fare deductions, Trip Credit allocations, and current account balance.

    4.7 Refunds and Fund Expiration

    Funds loaded into the Member Account are non-refundable during active membership except as required by law. Funds do not expire while the Member's account remains active.

    Upon termination of membership, any remaining Funds balance will be refunded to the Member, except where termination is due to Member's breach of this Agreement.

    5. Proprietary Rights

    • HandyRides and its affiliates are and shall remain the sole owners of all right, title, and interest in and to the HandyRides platform, web application, branding, documentation, and related materials ("HandyRides Materials").
    • Member is granted a limited, revocable, non-exclusive, non-transferable right to use the HandyRides App and related services solely for personal, non-commercial use in accordance with this Agreement.
    • Member shall not copy, modify, reverse engineer, decompile, disassemble, or attempt to access source code or underlying technologies of the HandyRides Materials.
    • Member shall not sublicense, rent, sell, or transfer access to the HandyRides platform or services to any third party.
    • Feedback provided by Members shall become the sole property of HandyRides, with unrestricted rights of use and dissemination.

    6. Confidential Information

    6.1 Definition

    In connection with this Agreement, HandyRides may disclose to Member certain non-public, confidential, or proprietary information, whether oral, written, electronic, or otherwise, relating to its business, operations, systems, products, services, pricing, technology, or customers ("Confidential Information"). For the purposes of this Agreement, Confidential Information includes, without limitation, non-public information regarding the HandyRides App, platform features, pricing models, and usage data.

    Confidential Information does not include information that:

    (a) is or becomes publicly available through no fault of Member;

    (b) is lawfully obtained by Member from a third party not under any confidentiality obligation;

    (c) is independently developed by Member without use of HandyRides' Confidential Information; or

    (d) is required to be disclosed by law or court order, provided HandyRides is given prompt notice to the extent legally permitted.

    6.2 Use and Protection

    Member agrees to use HandyRides' Confidential Information solely for the purpose of using the Services under this Agreement, and not for any other purpose. Member shall exercise reasonable care to protect HandyRides' Confidential Information and shall not disclose it to any third party without HandyRides' prior written consent, except as required by law.

    7. No Publicity

    Members may not post social media content or otherwise draw public attention to HandyRides or this Friends & Family membership. At this point, HandyRides' capacity to deliver affordable high-quality rides is limited so membership in "HandyRides Friends & Family" is by invitation only.

    Members may not issue press releases, publish information online (including social media), or otherwise represent themselves as an agent or spokesperson for HandyRides without HandyRides' prior written consent. Unauthorized activity will void membership.

    8. Representations and Warranties; Disclaimer

    8.1 Member Representations

    Member represents and warrants that:

    (a) they are at least eighteen (18) years of age or have the consent of a parent or guardian to participate;

    (b) they have full power and authority to enter into this Agreement and perform their obligations;

    (c) they will comply with all applicable laws and regulations in connection with use of the Services; and

    (d) all information they provide to HandyRides (such as account details and payment information) will be accurate and complete.

    8.2 HandyRides Representations

    HandyRides represents and warrants that:

    (a) it has full power and authority to enter into this Agreement and provide the Services; and

    (b) it will comply with applicable laws and regulations in providing the Services.

    8.3 Disclaimer

    EXCEPT AS EXPRESSLY STATED HEREIN, HANDYRIDES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. HANDYRIDES MAKES NO WARRANTIES REGARDING THE HANDYRIDES PLATFORM, APPLICATION, RIDE CREDITS, OR ANY ASSOCIATED MATERIALS. THE SERVICES ARE PROVIDED "AS IS" AND WITHOUT WARRANTY. HANDYRIDES DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET MEMBER'S REQUIREMENTS. TO THE FULLEST EXTENT PERMITTED BY LAW, HANDYRIDES' SOLE LIABILITY FOR ANY NONFUNCTIONAL RIDE CREDIT SHALL BE REPLACEMENT OF THAT CREDIT.

    9. Ownership and Feedback

    HandyRides and its affiliates are and shall remain the sole owners of all right, title, and interest in and to the HandyRides platform, web application, and all related documentation and materials ("HandyRides Materials").

    Member acknowledges and agrees that any questions, comments, suggestions, ideas, or feedback provided to HandyRides regarding the Services ("Feedback") shall be treated as confidential. HandyRides may use Feedback internally to improve the Services. HandyRides will not publish or publicly share Feedback that identifies the Member without the Member's prior consent.

    10. Limits of Liability

    TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HANDYRIDES BE LIABLE TO MEMBER FOR ANY INDIRECT, INCIDENTAL, EXEMPLARY, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF GOODWILL, LOSS OF BUSINESS PROFITS, LOSS OF DATA, OR OTHER INDIRECT ECONOMIC DAMAGES, EVEN IF HANDYRIDES HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    HandyRides' total liability to Member for any claim arising out of or relating to this Agreement shall not exceed the total amount of Funds actually loaded by Member and unused at the time of the claim.

    11. Termination

    11.1 Termination by Member

    Member may terminate this Agreement at any time by closing their account and ceasing use of the Services.

    11.2 Termination by HandyRides

    HandyRides may suspend or terminate this Agreement immediately, with or without notice, if:

    (a) Member fails to maintain a sufficient prepaid balance;

    (b) Member violates the HandyRides Rider Policy or this Agreement;

    (c) Member engages in fraud, misuse, or other conduct harmful to HandyRides, its drivers, or other riders; or

    (d) Member engages in unauthorized publicity activity.

    11.3 Effect of Termination

    Upon termination of this Agreement, Member shall lose access to the Services. Any remaining Funds balance will be refunded in accordance with Section 4.7, except where termination is for Member's breach of this Agreement (including unauthorized publicity or violation of the Rider Code of Conduct).

    11.4 Survival

    Sections 5 (Proprietary Rights), 6 (Confidential Information), 8 (Representations and Warranties; Disclaimer), 9 (Ownership and Feedback), 10 (Limits of Liability), 11.4 (Survival), and 12 (General) shall survive termination of this Agreement.

    12. General

    12.1 Governing Law and Venue

    This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law principles. Any legal action arising under this Agreement shall be brought exclusively in the state or federal courts located in Mercer County, New Jersey, and both parties consent to jurisdiction and venue therein.

    12.2 Notice

    Any notices required under this Agreement shall be delivered by email to the addresses provided by each party at the time of enrollment. Notices shall be deemed effective upon transmission by email.

    12.3 Waiver; Modification

    The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver of that provision. Any modification or amendment to this Agreement must be made in writing and acknowledged by both parties.

    12.4 Severability

    If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

    12.5 Force Majeure

    HandyRides shall not be liable for delay or failure in performance due to causes beyond its reasonable control, including but not limited to natural disasters, war, labor disputes, acts of government, or failures of internet or telecommunications providers.

    12.6 No Assignment

    Member may not assign this Agreement without HandyRides' prior written consent. HandyRides may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets.

    12.7 Relationship of Parties

    The parties are independent contracting parties. Nothing in this Agreement creates any employment, agency, partnership, or joint venture relationship between Member and HandyRides.

    12.8 Entire Agreement

    This Agreement represents the full and complete understanding between HandyRides and Member with respect to the Services and supersedes all prior and contemporaneous agreements, whether written or oral.

    12.9 Dispute Resolution

    Before initiating any legal action arising out of or relating to this Agreement, Member agrees to contact HandyRides in writing at info@handyrides.com and allow thirty (30) days to attempt to resolve the dispute informally. This informal resolution process is a prerequisite to any legal proceeding.

    12.10 Account Security

    Members are responsible for maintaining the confidentiality of their account credentials and for all activity that occurs under their account. Any Trips booked through a Member's account, whether by the Member or by an unauthorized party, are the Member's responsibility. Members must notify HandyRides immediately of any unauthorized use of their account.


    Exhibit A

    Service Area, Service Hours, and Activities

    Service Area

    All rides must begin and end within Mercer County, New Jersey, or nearby portions of Somerset and Middlesex Counties (e.g., Rocky Hill, Cranbury). Trips across the Delaware River are not available.

    Service Hours

    • Weekdays: 7:00 AM to 7:00 PM

    Service hours are subject to change. HandyRides may modify or expand service hours upon notice to Members.

    Activities

    • Rides may be booked in advance or on-demand through the HandyRides App or by phone, subject to availability.
    • Bookings are for seats, not vehicles—similar to trains, planes, and public transit. Each person traveling must be included in the booking.
    • To keep costs as low as possible, riders may, at HandyRides' discretion, share rides with others.
    • Each member can book up to three seats per trip.
    • Exclusive vehicle use can be reserved at 2.0 times the cost of a seat.
    • Vehicles are not equipped with child car seats or specialized equipment for wheelchair-users or car-seat-dependent individuals.
    • Elementary and middle school-aged children must ride with a parent or legal guardian. HandyRides does not provide unaccompanied transportation for minors in these age groups under the Friends & Family program.
    • High school-aged minors (ages 14–17) may ride unaccompanied with written parental consent on file. Parents or legal guardians remain fully responsible for the minor's conduct and any fees incurred.
    • Service animals are welcome in accordance with applicable law. Pets are not permitted unless transported in a secure carrier that fits on the rider's lap or at their feet. HandyRides reserves the right to deny service if an animal poses a safety risk.
    • Trips will be fulfilled by HandyRides-trained and insured drivers using HandyRides-managed vehicles.
    • Members will receive ride confirmations and updates via SMS.
    • All Trips are billed against the Member's funds or ride credits.

    Exhibit B

    HandyRides Rider Code of Conduct

    All determinations regarding rider conduct shall be made in the reasonable judgment of HandyRides personnel.

    Strike Policy

    HandyRides operates a three-strike policy for rider misbehavior. A "strike" may be issued for violations of this Code of Conduct, unsafe behavior, repeated lateness, abusive conduct, or failure to follow pickup procedures. Upon accumulation of three (3) strikes, HandyRides may suspend or permanently terminate membership at its sole discretion. HandyRides may also terminate membership immediately for severe safety violations without applying the strike system. HandyRides may issue strikes retroactively based on documented past conduct.

    Safety & Conduct

    • Unsafe behavior is absolutely forbidden and will void membership.
    • Seatbelts are always required by all riders.
    • Riders are responsible for walking to the designated pickup location and approaching the vehicle directly. Drivers are not required to leave the vehicle for pickup, loading, or drop-off except where required by law.
    • Smoking, intoxication, unsafe behavior, or abusive conduct will result in denied service.
    • Prohibited items: Riders may not transport weapons, illegal substances, open containers of alcohol, hazardous materials, or items that could damage the vehicle or endanger others.
    • HandyRides reserves the right to refuse service to any individual who, in the reasonable judgment of HandyRides personnel:
    • Is traveling without adequate supervision and demonstrates impaired decision-making capacity
    • Engages in unsafe behavior
    • Exhibits abusive or threatening conduct

    Booking and Cancellations

    • Free cancellation: Within 1 hour of booking, or 12+ hours before scheduled pickup.
    • $3.00 fee: Cancellations made 30 minutes to 12 hours before scheduled pickup.
    • $5.00 fee: Cancellations made less than 30 minutes before scheduled pickup.
    • The first 5% of cancellations each month are free, regardless of timing.

    Pickup Delays and No-Shows

    • Riders must be ready at the designated pickup location when the vehicle arrives.
    • If a rider is not present within five (5) minutes of the vehicle's arrival, the trip will be cancelled and marked as a no-show.
    • No-shows are subject to the applicable cancellation fee based on timing.

    Damage & Incidents

    • Damage, spills, or smoking will result in an incident fee equal to the full cost of cleaning and/or repair.

    Account and Payment

    • Members must maintain a sufficient Funds balance to request Trips.
    • Any unpaid fees (cancellation, delay, or incident charges) must be resolved before additional Trips can be booked.

    Lost & Found

    • Lost items are the rider's responsibility. HandyRides will make reasonable efforts to reunite riders with lost property but is not liable for lost, stolen, or damaged personal belongings left in vehicles.
    • A $15 retrieval fee may apply for items that require a return trip to retrieve.

    Acceptance
